This is what you accept when you click "I Agree" in the VFX Engine panel in Nuke. It supplements, and does not replace, the general VFX Engine Terms of Service, which continue to govern your account.
1. Who You're Agreeing With
"VFX Engine," "we," "us," and "our" refer to 1431045 B.C. Ltd., a company incorporated under the laws of British Columbia, Canada, operating the VFX Engine platform and the VFX Engine plugin for Nuke. If this Agreement conflicts with the general Terms of Service on a matter specific to the Nuke plugin, this Agreement controls.
2. Foundry Nuke Trademarks and Licensing
We use the name "Nuke" only in a referential, descriptive sense to indicate compatibility with that third-party software - not to claim any affiliation, sponsorship, or endorsement. Nuke, NukeX, and Nuke Studio are trademarks of Foundry (Foundry Visionmongers Ltd.). VFX Engine and the VFX Engine plugin for Nuke are independently developed and operated, and are not made, endorsed, sponsored, certified, or otherwise affiliated with Foundry in any way.
You are solely responsible for obtaining and maintaining your own valid Nuke license directly from Foundry or an authorized reseller, on whatever terms Foundry requires (including its Non-Commercial license restrictions). The plugin does not include, provide, resell, or substitute for a Nuke license, and we make no representation about, and take no responsibility for, your entitlement to run Nuke itself.
The plugin supports commercial Nuke licenses from Nuke 13 onward, and is built and tested on Nuke 17. Foundry restricts functionality on certain license tiers - for example, Nuke Non-Commercial limits Python scripting, blocks third-party plug-ins, disables certain export formats, and uses encrypted script files - and the plugin is not tested or supported on those tiers. Those limitations are set by Foundry and are between you and Foundry; we accept no responsibility for issues arising from license-tier restrictions.
3. Nature of the Beta
- This is a beta program, not a finished product. Expect things to go wrong sometimes: crashes, failed renders, unexpected or broken behavior, and features that change without notice. Nothing in this Agreement is a promise that the plugin works reliably or without incident.
- The Nuke plugin and the models it exposes are labeled beta. Beta software is provided as-is: it may contain bugs, may behave inconsistently, and may be changed, restricted, or discontinued at any time, with or without notice.
- We do not guarantee uptime, a fixed set of available models, or that any given plugin version will keep working with future versions of Nuke or of our platform.
- Beta status does not change the real-money nature of credits: paid credits spent through the plugin follow the same Credits and Usage terms as the rest of the platform (see Section 7).
4. Your Content and How It's Handled
- You keep ownership of any footage, images, or other material you upload or render through the plugin ("Your Content"). You are not granting us ownership.
- To generate a result, Your Content is uploaded to our storage and then sent on to the AI model provider's own servers to actually perform the generation - you are submitting it to a third party, not just to us. We do not use Your Content to train our own foundation models. Provider-side handling is governed by that provider's own terms; we choose providers we believe handle content responsibly, but we do not control their systems.
- Do not upload sensitive, confidential, or regulated material - unreleased footage under NDA, personal data you are not authorized to share, or financial, health, or other sensitive information - unless you have already assessed and accepted that risk yourself. Our tools connect your account to third-party AI providers to help you generate and work with content; submitting any particular piece of content through them is your decision and your responsibility, not ours.
- You confirm that you have the necessary rights to any footage, images, likeness, or other material you upload, and that submitting it for AI processing does not infringe anyone else's rights.
- Storage is a convenience, not an archive. Your generated file is downloaded to your machine (next to your Nuke script) the moment a generation completes - that local copy is yours and is the copy to rely on. Copies retained on our servers (your dashboard and gallery) are not a permanent archive: we may delete stored uploads and generated outputs at any time, for any reason, including to manage storage costs, without notice or liability. Save anything you want to keep.
- To the maximum extent permitted by applicable law, we are not liable for any unauthorized access to, or breach, loss, or disclosure of, content you choose to submit, whether occurring on our systems or a third-party provider's systems. This does not override our own obligations under applicable privacy law (see Section 9).
- We may remove or refuse to process content that violates this Agreement, the general Terms of Service, or applicable law.
5. AI-Generated Output
- VFX Engine does not own, develop, or operate the underlying AI generation models used to fulfill your requests. They are built and operated by independent third-party providers we integrate with. We are not responsible for the accuracy, legality, appropriateness, availability, or any other aspect of a model's behavior or output, beyond the credit-refund policy in Section 6.
- AI generation is probabilistic. Identical prompts and settings can produce different results between runs, and no output is guaranteed to match your creative intent or any particular quality bar.
- You are responsible for reviewing generated output before using it in any deliverable, publication, or downstream production.
- To the extent copyright or other intellectual property rights subsist in generated output, you own them, and we assign and waive any rights we might otherwise hold. Some AI-generated content with minimal human creative input may not be eligible for copyright protection under Canadian or other applicable law; we make no representation that such content is protectable, and you are responsible for assessing protectability before relying on it commercially. This mirrors, and does not narrow, the general Terms of Service.
6. Credits, Cost Estimates, and Refunds
- Every generation in the plugin shows its exact credit cost before you confirm it. You are never charged more than the amount shown and confirmed when you clicked Generate, even if the underlying cost changes before the job runs.
- If a generation fails to complete for any reason on our side, the credits it would have cost are automatically refunded. You do not need to request this.
- Generations that complete successfully are final. We do not refund credits because you dislike the result, decide not to use it, or find it does not match your expectations, regardless of the output's subjective quality.
- Free monthly beta credits are provided entirely at our discretion, as a courtesy, and are never owed or guaranteed to you. We may modify, reduce, revoke, or discontinue them for any user or all users, at any time. They expire at the end of the period they are granted for. If you run out, you must purchase credits to continue generating.
7. Acceptable Use
You agree not to, in connection with the plugin:
- Generate illegal content, or content that infringes someone else's intellectual property, privacy, or publicity rights.
- Generate content depicting real, identifiable people in a sexual, defamatory, or otherwise harmful context without their consent.
- Attempt to circumvent credit limits, beta access controls, or rate limits, or automate requests outside of normal creative use.
- Reverse-engineer, decompile, or extract the plugin's server-communication logic beyond what its public source license expressly permits.
- Resell or sublicense access to the plugin or its underlying models.
8. No Warranty
The plugin and every beta model it exposes are provided "as is" and "as available," without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the plugin will be error-free, uninterrupted, or secure, or that any generated output will be fit for any particular use.
9. Limitation of Liability
To the maximum extent permitted by applicable law, VFX Engine's total liability to you arising out of or related to the Nuke plugin and this Agreement will not exceed the greater of (a) the amount you paid us for credits in the three months preceding the event giving rise to the claim, or (b) CAD $100. Neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or business interruption, even if advised of the possibility of such damages. Nothing here limits liability where doing so is prohibited by applicable law, including liability for gross negligence, willful misconduct, breach of confidentiality or data protection obligations, intellectual property infringement indemnification under Section 10, or any matter that cannot be limited under the Business Practices and Consumer Protection Act, the Personal Information Protection Act, or other mandatory British Columbia or Canadian law.
10. Indemnification
You agree to indemnify and hold VFX Engine harmless from any claim, loss, or expense (including reasonable legal fees) arising from: (a) Your Content, (b) your use of generated output, or (c) your violation of this Agreement or applicable law. This does not apply to the extent the claim arises from our own breach of this Agreement or violation of law.
11. Termination
We may suspend or terminate your beta access at any time, for any or no reason, including discontinuing the beta program entirely. You may stop using the plugin at any time.
12. Changes to This Agreement
We may update this Agreement as the beta evolves. Material changes require re-acceptance in the plugin before you can generate again.
13. Governing Law and Disputes
This Agreement is governed by the laws of British Columbia, Canada. You represent that you are entering this Agreement for business, trade, or professional purposes, and not primarily for personal, family, or household use.
To the extent permitted by applicable law, any dispute arising out of or relating to this Agreement will be resolved by binding individual arbitration in British Columbia, and not as a class, collective, or representative action. This arbitration clause, and the class-action waiver, do not apply to the extent British Columbia's Business Practices and Consumer Protection Act or other mandatory consumer protection law renders them unenforceable against you, or to any individual claim that falls within the monetary threshold BC law reserves for small claims court regardless of this clause - in either case, that law's dispute-resolution rules govern instead.
