Nuke Plugin Beta Access Agreement

This is what you accept when you click "I Agree" in the VFX Engine panel in Nuke. It supplements, and does not replace, the general VFX Engine Terms of Service, which continue to govern your account.

1. Who You're Agreeing With

"VFX Engine," "we," "us," and "our" refer to 1431045 B.C. Ltd., a company incorporated under the laws of British Columbia, Canada, operating the VFX Engine platform and the VFX Engine plugin for Nuke. If this Agreement conflicts with the general Terms of Service on a matter specific to the Nuke plugin, this Agreement controls.

2. Foundry Nuke Trademarks and Licensing

We use the name "Nuke" only in a referential, descriptive sense to indicate compatibility with that third-party software - not to claim any affiliation, sponsorship, or endorsement. Nuke, NukeX, and Nuke Studio are trademarks of Foundry (Foundry Visionmongers Ltd.). VFX Engine and the VFX Engine plugin for Nuke are independently developed and operated, and are not made, endorsed, sponsored, certified, or otherwise affiliated with Foundry in any way.

You are solely responsible for obtaining and maintaining your own valid Nuke license directly from Foundry or an authorized reseller, on whatever terms Foundry requires (including its Non-Commercial license restrictions). The plugin does not include, provide, resell, or substitute for a Nuke license, and we make no representation about, and take no responsibility for, your entitlement to run Nuke itself.

The plugin supports commercial Nuke licenses from Nuke 13 onward, and is built and tested on Nuke 17. Foundry restricts functionality on certain license tiers - for example, Nuke Non-Commercial limits Python scripting, blocks third-party plug-ins, disables certain export formats, and uses encrypted script files - and the plugin is not tested or supported on those tiers. Those limitations are set by Foundry and are between you and Foundry; we accept no responsibility for issues arising from license-tier restrictions.

You agree not to, in connection with the plugin:

8. No Warranty

The plugin and every beta model it exposes are provided "as is" and "as available," without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the plugin will be error-free, uninterrupted, or secure, or that any generated output will be fit for any particular use.

9. Limitation of Liability

To the maximum extent permitted by applicable law, VFX Engine's total liability to you arising out of or related to the Nuke plugin and this Agreement will not exceed the greater of (a) the amount you paid us for credits in the three months preceding the event giving rise to the claim, or (b) CAD $100. Neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or business interruption, even if advised of the possibility of such damages. Nothing here limits liability where doing so is prohibited by applicable law, including liability for gross negligence, willful misconduct, breach of confidentiality or data protection obligations, intellectual property infringement indemnification under Section 10, or any matter that cannot be limited under the Business Practices and Consumer Protection Act, the Personal Information Protection Act, or other mandatory British Columbia or Canadian law.

10. Indemnification

You agree to indemnify and hold VFX Engine harmless from any claim, loss, or expense (including reasonable legal fees) arising from: (a) Your Content, (b) your use of generated output, or (c) your violation of this Agreement or applicable law. This does not apply to the extent the claim arises from our own breach of this Agreement or violation of law.

11. Termination

We may suspend or terminate your beta access at any time, for any or no reason, including discontinuing the beta program entirely. You may stop using the plugin at any time.

12. Changes to This Agreement

We may update this Agreement as the beta evolves. Material changes require re-acceptance in the plugin before you can generate again.

13. Governing Law and Disputes

This Agreement is governed by the laws of British Columbia, Canada. You represent that you are entering this Agreement for business, trade, or professional purposes, and not primarily for personal, family, or household use.

To the extent permitted by applicable law, any dispute arising out of or relating to this Agreement will be resolved by binding individual arbitration in British Columbia, and not as a class, collective, or representative action. This arbitration clause, and the class-action waiver, do not apply to the extent British Columbia's Business Practices and Consumer Protection Act or other mandatory consumer protection law renders them unenforceable against you, or to any individual claim that falls within the monetary threshold BC law reserves for small claims court regardless of this clause - in either case, that law's dispute-resolution rules govern instead.
